By accessing or using the pactdraft.ai website and services (the "Service"), operated by pactdraft.ai ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.
2. Description of Service
pactdraft.ai is an AI-powered document generation tool that helps users create cofounder agreements and related business documents. The Service uses artificial intelligence to generate customized legal documents based on user inputs.
pactdraft.ai is NOT a law firm and does NOT provide legal advice. The documents generated by our Service are templates and starting points only. They are not a substitute for professional legal counsel. We strongly recommend that all generated documents be reviewed by a qualified attorney before execution.
3. User Accounts
To use certain features of the Service, you must create an account. You are responsible for:
- Providing accurate and complete registration information
- Maintaining the security of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized use of your account
We reserve the right to suspend or terminate accounts that violate these Terms or are used for fraudulent purposes.
4. Payment Terms
The Service is offered at a one-time fee of $99 per cofounder agreement. By making a purchase, you agree to pay the specified amount through our third-party payment processor (Stripe). All payments are final unless otherwise required by applicable law.
Prices are subject to change with notice. Any price changes will not affect purchases already completed.
5. Intellectual Property
The Service, including its design, features, and underlying technology, is owned by pactdraft.ai and protected by intellectual property laws.
You retain ownership of the information you provide to the Service. Upon purchase, you are granted a non-exclusive, non-transferable license to use the generated documents for your personal or business purposes. You may not resell, redistribute, or sublicense generated documents as a competing service.
6. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."
To the fullest extent permitted by law, we disclaim all warranties, express or implied, including but not limited to:
- Warranties of merchantability or fitness for a particular purpose
- The accuracy, completeness, or legal sufficiency of any generated documents
- That the Service will be uninterrupted, secure, or error-free
pactdraft.ai does NOT provide legal advice. Documents generated by the Service are NOT a substitute for consultation with a qualified attorney. We do not guarantee that any document will be enforceable, valid, or appropriate for your specific situation. You use the generated documents at your own risk.
7. Limitation of Liability
To the maximum extent permitted by applicable law, pactdraft.ai and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or related to your use of the Service.
Our total cumulative liability for any claims arising from or related to the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.
8. Indemnification
You agree to indemnify and hold harmless pactdraft.ai and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorney's fees) arising out of your use of the Service, your violation of these Terms, or your reliance on any generated documents.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.
10. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the revised Terms.
